On February 23, 2009, Terra Industries Inc. (“Terra”) issued a press release responding to  CF Industries Holdings, Inc.’s (“CF Industries”) announcement that it has commenced an unsolicited exchange offer to acquire all of the outstanding shares of Terra.  A copy of the press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
