Item 5.02.
  Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On December 5, 2006, Joe W. Harden, President of The Worthington Steel Company, a wholly-owned subsidiary of Worthington Industries, Inc. (“Worthington Industries”), announced his intention to retire from his position as of December 15, 2006.
George P. Stoe, Executive Vice President and Chief Operating Officer of Worthington Industries, will also serve as President of The Worthington Steel Company until a successor for Mr. Harden has been named.
