This Schedule TO relates to the offer by Purchaser to purchase all outstanding shares of common stock, par value $.001 per share (the "Common Stock"), of Cypress Communications, Inc., a Delaware corporation ("Cypress"), including the associated rights to purchase preferred stock issued pursuant to the Rights Agreement (as defined in the Offer to Purchase) (the "Rights" and, together with the Common Stock, the "Shares") at a purchase price of $3.50 per Share, net to the seller in cash, upon the terms and subject to the conditions set forth in the Offer to Purchase dated January 22, 2002 (the "Offer to Purchase"), and in the related Letter of Transmittal, copies of which were previously filed with the Schedule TO as Exhibits (a)(1)(i) and (a)(1)(ii), respectively (which, together with any amendments or supplements thereto, collectively constitute the "Offer"). Certain Conditions of the Offer" of the Offer to Purchase is deleted in its entirety and such paragraph is replaced in its entirety with: "(B) at any time on or after the date of the Merger Agreement and before the Expiration Date, any of the following events shall occur which in the reasonable good faith judgment of Parent or Purchaser, in any such case, and regardless of the circumstances (including any action or inaction by Parent or Purchaser) giving rise to such condition makes it inadvisable to proceed with the Offer and/or with such acceptance for payment of or payment for Shares:" (3) The penultimate paragraph in "Item 15. Certain Conditions of the Offer" of the Offer to Purchase is deleted in its entirety and such paragraph is replaced in its entirety with: "The foregoing conditions are for the sole benefit of Parent and Purchaser, and except as specifically provided in the Merger Agreement, may be waived by Parent or Purchaser, in whole or in part, at any time and from time to time in the sole discretion of Parent or Purchaser up until the Expiration Date. The failure by Parent or Purchaser at any time to exercise any of the foregoing rights shall not be deemed a waiver of any such right and each such right shall be deemed an ongoing right which may be asserted at any time and from time to time up until the expiration of the Offer."
