ITEM 8.01 OTHER EVENTS
     On January 24, 2007, Terra Industries Inc. issued a press release providing guidance for its 2006 fourth quarter results. A copy of the press release is attached hereto as Exhibit 99.1.
     On January 24, 2007, Terra Capital, Inc., a subsidiary of Terra Industries Inc., issued a press release announcing that it intends to issue $330 million of Senior Notes due 2017. A copy of the press release is attached hereto as Exhibit 99.2.
     On January 25, 2007, Terra Capital, Inc., a subsidiary of Terra Industries Inc., announced that it had received, pursuant to its previously announced tender offers and consent solicitations for any and all of its outstanding 127/8% Senior Secured Notes due 2008 and 111/2% Second Priority Senior Secured Notes due 2010 (collectively, the “Notes”) , the requisite consents to adopt proposed amendments to the Notes and the indentures governing the Notes. A copy of the press release is attached hereto as Exhibit 99.3.
