Item 2.02. Results of Operations and Financial Condition

          Goodrich Petroleum Corporation (the “Company”) issued a press release on February 25, 2009, containing financial and operational results for the year end and fourth quarter 2009.  A copy of the Company’s press release announcing the financial results is attached as Exhibit 99.1 to this current report on Form 8-K.
