Item 5.02		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On January 13, 2009, Matthew S. Kabaker, a director of HealthMarkets, Inc. (the “Company”), notified the Company that he is resigning from the Board of Directors of the Company, effective January 16, 2009. In accordance with the Company’s stockholders agreement, certain directors of the Company are nominated or designated by investment affiliates of The Blackstone Group (“Blackstone”), Goldman Sachs Capital Partners and DLJ Merchant Banking Partners. Mr. Kabaker was nominated to the Board of Directors by Blackstone and is resigning because he will no longer be employed by Blackstone.
