Item 5.02   Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
     S. Craig Rogers, who has served as Vice President — Operations of Natural Gas Service Group since June 2003, has notified Natural Gas Services Group, Inc. that November 10, 2006 will be his last day with the Company. Mr. Rogers is resigning from the Company to pursue other endeavors.
     William R. Larkin has served as Vice President — Sales and Marketing of Natural Gas Services Group, Inc. since June 2004. Effective October 30, 2006, Mr. Larkin ceased to serve the Company in this capacity and is no longer employed by the Company.
     The duties and responsibilities of Messrs. Rogers and Larkin will be assumed by the Company’s existing employee staff pending a permanent reassignment of duties and responsibilities.
