Item 8.01 Other Events.

On January 16, 2018, the Company issued a press release announcing that it intends to offer, subject to market conditions and other factors, $125 million aggregate principal amount of convertible senior notes due 2023 in a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended. A copy of the press release announcing the proposed offering is attached hereto as Exhibit 99.1, which is incorporated by reference herein.
