DEREGISTRATION OF SECURITIES

Winn-Dixie Stores, Inc., a Florida corporation (the “Company”), hereby amends (i) its Registration Statement on Form S-8 (File No. 333-139630) initially filed with the Securities and Exchange Commission on December 22, 2006 (the “Initial Registration Statement”) registering 5,400,000 shares of the Company’s common stock, par value $0.001 per share (“Common Stock”) and (ii) its Registration Statement on Form S-8 (File No. 333-147417) initially filed with the Securities and Exchange Commission on November 15, 2007 (the “Additional Registration Statement” and together with the Initial Registration Statement, the “Registration Statements”) registering an additional 2,188,000 shares of Common Stock for the Company’s Amended and Restated Equity Incentive Plan, by deregistering all of the Common Stock registered on the Registration Statements that has not been sold or otherwise remains unissued.

On December 19, 2011, the Company entered into an Agreement and Plan of Merger, dated as of December 16, 2011 (the “Merger Agreement”), with Opal Holdings, LLC, a Delaware limited liability company (“Parent”), and Opal Merger Sub, Inc., a Florida corporation and a wholly-owned subsidiary of Parent (“Merger Sub” and, together with Parent, the “Acquiring Parties”), pursuant to which on March 9, 2012, Merger Sub was merged with and into the Company, with the Company being the surviving corporation and continuing its existence under the laws of the State of Florida (the “Merger”). Pursuant to the Merger Agreement, on March 9, 2012, each issued and outstanding share of Common Stock of the Company, other than any shares owned by the Company, the Acquiring Parties or Merger Sub, were cancelled and converted automatically into the right to receive $9.50 in cash, without interest. Therefore, the Company has ceased to be a publicly traded company, and in connection with the Merger, the Company is terminating all of its offerings of securities pursuant to its existing registration statements, including the Registration Statements.

In accordance with the undertaking contained in Part II, Item 9(a)(3) of the Initial Registration Statement pursuant to Item 512(a)(3) of Regulation S-K, the Company files this Post-Effective Amendment No. 1 to terminate the effectiveness of the Registration Statements and to remove from registration all of the Common Stock which remains unissued under the Registration Statements as of the date hereof, if any.
