Item 8.01 Other Events.

On December 21, 2010, the Board of Directors of Flotek Industries, Inc. (the “Company”) authorized and approved the payment of all accumulated and unpaid dividends on the Company’s outstanding shares of Series A Cumulative Convertible Preferred Stock (the “Preferred Stock”) through and including December 31, 2010. These dividends will be payable in shares of the Company’s common stock as set forth in the certificate of designations governing the Preferred Stock on January 6, 2011 to holders of record of the Preferred Stock on December 22, 2010.
