Snap-on Incorporated (the Company) held its 2010 Annual Meeting of Shareholders on April 22, 2010. The shareholders (i) elected four members of the Companys Board of Directors, whose terms were up for re-election, to serve until the Annual Meeting in the year 2013; and (ii) ratified the Audit Committees selection of Deloitte & Touche LLP as the Companys independent auditor for 2010. There were 57,762,581 outstanding shares eligible to vote as of February 22, 2010, the record date for the 2010 Annual Meeting.
The directors elected to the Companys Board for terms expiring at the Annual Meeting in the year 2013, as well as the number of votes cast for, against, abstentions and broker non-votes with respect to each of these individuals, are set forth below:
