Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 23, 2009, Gregory Summe resigned from the Board of Directors and from the Audit Committee of the Board of Directors of Biomet, Inc. (the “Company”). Effective on September 24, 2009, the Board of Directors elected Andrew Y. Rhee as a director to serve out Mr. Summe’s term. Mr. Rhee was also appointed to the Audit Committee of the Board. Mr. Rhee is a Vice President at Goldman, Sachs & Co. (“Goldman”), one of the four investment firms that collectively and indirectly, through their affiliation with various private equity funds that control LVB Acquisition Holding, LLC, control our parent entity, LVB Acquisition, Inc. Pursuant to the Amended and Restated Limited Liability Company Operating Agreement of LVB Acquisition Holding, LLC, Goldman has the right to nominate two directors to our Board of Directors. Mr. Summe had been previously designated by Goldman to serve on our Board of Directors and on September 23, 2009, Goldman notified the Company that it was designating Mr. Rhee to fill the vacancy resulting from Mr. Summe’s resignation.
