Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On December 15, 2006, Mark A. Salyer, Executive Vice President of Sales and Marketing of BioDelivery Sciences International, Inc., a Delaware corporation (the “Company”) provided written notice to the Company of his intention to voluntarily resign from the Company for personal reasons. Mr. Salyer’s employment with the Company will end on January 14, 2007.

Mr. Salyer’s departure from the Company was at his own initiative and was not based on any disagreement with the Company’s management or board of directors on any matter, including those relating to the Company’s operations, policies or practices. The Company will ultimately look to replace Mr. Salyer and does not expect Mr. Salyer’s departure to have a material impact on the Company’s operations.
