ITEM 1.01 MATERIAL DEFINITIVE AGREEMENT
On April 28, 2005, the Board of Directors of Key Tronic Corporation 1) approved an increase in the biweekly salary of Jack W. Oehlke, the Companys President and CEO, from $13,461.54 to $14,615.38, effective as of May 1, 2005, and 2) approved an increase in the biweekly salary of Michael D. Chard, the Companys Vice President of Materials from $5,534.28 to $5,719.23 effective as of May 1, 2005.
