Item 1.01.    Entry into a Material Definitive Agreement
 
Technitrol, Inc. and AMI Doduco, Inc. (collectively, the "Companies") entered into a Letter Amendment, dated as of November 12, 2004 (the "Amendment") with Fleet Precious Metals Inc. (the "Consignor") amending the Consignment Agreement, dated as of November 18, 1997, by and between the Consignor and the Companies (as previously amended, the "Consignment Agreement").

Pursuant to the Amendment, the limit of the value of commodities permitted to be consigned under the Consignment Agreement was increased from $30,000,000 to $33,000,000.

The Amendment is attached hereto as Exhibit 10.1.
