On May 28, 2009, AltiGen Communications, Inc. issued a press release urging its stockholders to vote to approve the adoption of a new 2009 Equity Incentive Plan and a new 2009 Employee Stock Purchase Plan.  A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.
