Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
 
On December 1, 2005, William C. Bartholomay advised the Chairman of the Board of Directors of WMS Industries Inc. (the "Company") that he has decided to retire from the Board effective December 15, 2005 and that he is withdrawing his name as a candidate for re-election to the Board of Directors at the December 15th annual meeting of stockholders of the Company. Mr. Bartholomay, age 77, has served as a valued member of the Board since 1981. Mr. Bartholomay will continue his affiliation with the Company as a director emeritus under the Company’s director succession plan effective with his retirement from the Board. A copy of Mr. Bartholomay’s resignation letter is attached as Exhibit 99.1 to this Current Report on Form 8-K.
