On July 20, 2011, Ecolab Inc. began distributing the following letter to employees.
As you know, this week Ecolab announced its merger with Nalco, the world leader in providing water and waste solutions to business and industry around the world. Once the merger is final, Ecolab will be an $11 billion+ world leader in cleaning, sanitation and water management solutions that help keep food safe, prevent the spread of infection and preserve natural resources. We will have nearly 39,000 associates serving customers in more than 160 countries, working towards our broader purpose of creating a cleaner, safer, and healthier world.
This merger is a transformative event for Ecolab and particularly for our Water, Energy and Waste (WEW) business. Moving in this direction underscores the companys long-term commitment to the opportunity in water, energy and waste and recognizes the progress youve made in building this growth platform. A key part of the merger strategy is to accelerate the growth of the WEW business within F&B, hospitality, textile care, healthcare and other current core Ecolab markets. Your expertise and knowledge are more important than ever to our success.
Over time, the merger will expand what we can offer our customers, including:
· Comprehensive global field and customer coverage on water services
· Supply chain capabilities like hands-free and bulk telemetry
· Best-in-class operational monitoring likeTrasar
This merger is primarily driven by growth, not by an effort to drive down costs. Both companies have very strong cost reduction programs in place which we expect to continue. As in any merger, there are long-term opportunities to gain efficiencies, primarily from making our administrative functions more efficient, but we have not yet developed any specific plans. We do not foresee any reduction in our sales and service organizations and intend to continue to invest in our R&D and customer-facing commercial teams, which are critical to the making this merger deliver the benefits, value and the opportunities weve identified. The vast majority of Nalco and Ecolab employees should benefit favorably from this merger as there will be exciting opportunities for business growth, financial performance and career growth in the new organization.
The transaction wont close until late this year. You can expect to receive updates on how we will bring the businesses together around the time that we
close the transaction. In the meantime, the imperative is to operate just as we are today. Continue to win business, deliver on commitments, delight our customers and run a tight ship.
Until the transaction closes, both Ecolab and Nalco must continue to act as separate and independent companies, and you should not try to contact any Nalco employees. Where we compete today, we must continue to compete until after closing. We cant speak to our customers or prospects together, and we cant discuss competitive plans or contract negotiations, prior to close. So for the interim, we will continue to compete with people who may later be our colleagues. Remember that it is our policy to compete for business while speaking respectfully of our competitors.
This is an exciting time to be part of the Water Care and WEW teams at Ecolab. We are poised for exceptional growth and I look forward to working with all of you as we seize the incredible opportunities ahead of us.
