Calix Announces Pricing of Upsized Public Offering of Common Stock

Calix, Inc. (NSYE: CALX), the leading global provider of cloud and software platforms, systems and services required to deliver the unified access network and smart premises of tomorrow, today announced the pricing of an underwritten public offering of 2,800,000 shares of its common stock at a price to the public of $20.00 per share, for gross proceeds of $56.0 million before deducting estimated underwriting discounts and commissions and estimated offering expenses payable by Calix. The 2,800,000 shares represent an increase of 1,100,000 shares from the original offering size of 1,700,000 shares. In addition, Calix has granted the underwriters of the offering a 30-day option to purchase up to an additional 420,000 shares of common stock at the public offering price, less underwriting discounts and commissions. All of the shares to be sold in the offering are being offered by Calix.

Calix currently expects to use the net proceeds from this offering for working capital and other general corporate purposes, which may include capital expenditures, product development and investments in sales and marketing in the United States and internationally. Calix may also use a portion of the proceeds to fund its repayment of outstanding borrowings under its line of credit.

The offering is expected to close on or about August 3, 2020, subject to satisfaction of customary closing conditions.

Jefferies is acting as sole bookrunning manager for the offering. Cowen, Needham & Company, Craig-Hallum Capital Group and Northland Capital Markets are acting as co-managers for the offering.
