PAVmed Announces Closing of Firm Commitment Common Stock Offering

PAVmed Inc. (Nasdaq: PAVM, PAVMW) (“PAVmed”), a highly differentiated, multiproduct medical device company, today announced the closing of its previously announced underwritten public offering of 2,415,278 shares of its common stock at a public offering price of $1.80 per share.

Dawson James Securities, Inc. acted as sole underwriter of the offering.

Net proceeds from the sale by PAVmed of the shares after underwriting discounts, commissions, and other offering expenses are expected to be approximately $3.9 million (not including the overallotment option). PAVmed plans to use the net proceeds for working capital and other general corporate purposes.

The underwriter has a 45-day option to purchase up to 362,292 additional shares of PAVmed’s common stock to cover overallotments, if any.

The offering was made pursuant to a shelf registration statement (File No. 333-220549) declared effective by the Securities and Exchange Commission on October 6, 2017.
