QXO Announces Common Stock Offering

QXO, Inc. (NYSE: QXO) (the “Company” or “QXO”) today announced it intends to make an offering of $750 million of shares of its common stock (the “Offering”). QXO’s common stock is listed on the New York Stock Exchange under the symbol “QXO.”

QXO intends to grant the underwriter of the Offering an option to purchase up to an additional $112.5 million of shares of common stock at the public offering price less underwriting discounts and commissions.

QXO intends to use the net proceeds from the Offering for general corporate purposes, which may include, among other things, funding future acquisitions of businesses.

BofA Securities is acting as the sole underwriter for the Offering.

The Offering will be made by means of a prospectus supplement under QXO’s effective registration statement on Form S-3ASR, as filed with the Securities and Exchange Commission (the “SEC”).
