Item 2.01.		Completion of Acquisition or Disposition of Assets.

On April 4, 2008, Eaton Green Holding GmbH, an indirect wholly owned subsidiary of the registrant, acquired 100% of the share capital of Moeller Holding GmbH (“Moeller”), from Green Beta S.a.r.l. The consideration consisted of €686 million in cash and payoff or assumption of certain liabilities, resulting in a net consideration of approximately €1.55 billion. Moeller, based in Bonn, Germany, and its subsidiaries are leading suppliers of components for commercial and residential building applications and industrial controls for industrial equipment applications.
