ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
     On January 4, 2008, A. Schulman, Inc. (the “Company”) announced earnings for the Company’s first quarter ended November 30, 2007. A copy of the press release announcing these results is attached as Exhibit 99.1 hereto and incorporated by reference herein.
