Item 1.01. Entry into a Material Definitive Agreement
     Dick Stephens has agreed to remain in a consultant role with Cooper Tire & Rubber Company through the end of 2006 in order to provide for a smooth transition after his planned retirement, which was previously reported in the Current Report on Form 8-K filed on June 1, 2006. Mr. Stephens will resign from his position as Vice President and President, North American Tire Division effective July 1, 2006. During the interim time period, Mr. Stephens will continue to receive his current level of compensation and benefits.
