Item 5.02.		Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

     On August 10, 2005, the Board of Directors of the Company received notice of the voluntary resignation of Stephen R. Volk as a director of the Company, effective immediately. Immediately prior to his resignation, Mr. Volk served on the Compensation Committee and the Nominating and Corporate Governance Committee of the Board of Directors of the Company. Mr. Volk’s resignation was not as a result of any disagreement with the Company.
