EXPLANATORY NOTE This registration statement is being filed solely to register the issuance of up to 200,000 additional shares of common stock, par value $0.01 per share ("Common Stock"), of Alamosa Holdings, Inc., a Delaware corporation (the "Company"), pursuant to the Company's Second Amended and Restated Employee Stock Purchase Plan (the "ESPP"). On April 16, 2004, the Board of Directors of the Company unanimously approved an amendment and restatement of the ESPP to increase the number of shares of Common Stock authorized for issuance under the ESPP by 200,000 shares. At the annual meeting of stockholders of the Company held on June 2, 2004, the Company's stockholders approved such amendment and restatement. The Company previously filed a registration statement on Form S-8 (File No. 333-56430) on March 2, 2001, covering 600,000 shares of its Common Stock initially authorized for issuance under the ESPP.
