ITEM 1.01 Entry into a Material Definitive Agreement
On December 31, 2005, the Compensation Committee of the Board of Directors of Nuance Communications, Inc. (the “Company”) approved the accelerated vesting of performance-based restricted stock purchase rights for certain employees, including Steven Chambers (3,703 shares), Jeanne McCann (3,968 shares) and John Shagoury (5,081 shares) in recognition of their efforts in connection with the Company’s documentation and testing of its internal controls over financial reporting.
