On August 5, 2008, Blue Nile, Inc. issued a press release announcing financial results for the
quarter ended June 29, 2008. A copy of the press release is attached hereto as Exhibit 99.1 and is
incorporated herein by reference. The press release should be read in conjunction with the note
regarding forward-looking statements, which is included in the text of the press release.

ITEM 5.02. DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF
PRINCIPAL OFFICERS
On August 4, 2008, Joe Jimenez notified Blue Nile, Inc. of his decision to resign from its Board of
Directors due to the demands of his position as the Chief Executive Officer of Novartis Pharma AG,
based in Basel, Switzerland. Mr. Jimenez’s resignation is effective on August 4, 2008.
In connection with Mr. Jimenez’s decision not to stand for re-election, the Board of Directors
reduced the size of the Board of Directors from eight members to seven members effective on August
4, 2008.
