ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION

On May 4, 2005, Ashford Hospitality Trust, Inc. (the “Company”) issued a press release announcing its financial results for its first quarter ended March 31, 2005. A copy of the press release is attached hereto as Exhibit 99.1. On May 5, 2005, the Company held an earnings conference call for its first quarter ended March 31, 2005. A copy of the conference call transcript is attached hereto as Exhibit 99.2.
