ITEM 7.01. REGULATION FD DISCLOSURE

On April 25, 2005, Ashford Hospitality Trust, Inc. (the “Company”) announced that it closed on its sale of the Ramada Inn Hyannis Regency hotel in Hyannis, Massachusetts, for approximately $4.8 million in cash.

On April 25, 2005, the Company announced that it closed on its sale of the Ramada Inn in Warner Robins, Georgia, for approximately $1.5 million in cash.
