ITEM 7.01. REGULATION FD DISCLOSURE

Ashford Hospitality Trust, Inc. (the “Company”) issued a press release, dated April 18, 2005, announcing the origination of an $8.0 million mezzanine loan on the Hyatt Regency Philadelphia at Penn’s Landing in Philadelphia, Pennsylvania. The press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
