ITEM 7.01 REGULATION FD DISCLOSURE
On December 15, 2004, Ashford Hospitality Trust, Inc. (the “Company”) issued a press release announcing that its Board of Directors declared a dividend for its fourth quarter ended December 31, 2004, of approximately $0.15 per fully-diluted share, payable January 18, 2004, for shareholders of record on December 31, 2004. A copy of the press release is attached hereto as Exhibit 99.48 and is incorporated herein by reference.
