Item 2.04 Triggering Events that Accelerate or Increase a Direct Financial
Obligation or an Obligation Under an Off-Balance Sheet
Arrangement
On August 8, 2006, Parker Drilling Company, a Delaware corporation (the Company),
voluntarily called for redemption $50,000,000 aggregate principal amount of its outstanding Senior
Floating Rate Notes due 2010 (the Notes), at the redemption price of 102.00% of the principal
amount thereof, in accordance with the terms of the indenture governing the Notes. Holders of
redeemed Notes will also receive accrued and unpaid interest thereon up to but not including the
redemption date, which is September 8, 2006. As of the date of this report (and prior to giving
effect to the redemption), $150,000,000 in aggregate principal amount of the Notes were
outstanding. The Company intends to use the net proceeds from the previously announced sale of its
Nigerian drilling rigs and their related assets, together with cash on hand, to fund this
redemption.
