Item 3.02 Unregistered Sales of Equity Securities

On January 26, 2006, we issued approximately 632,336 shares of our common stock. These shares were issued to satisfy our deferred share obligations owing to certain current and former employees pursuant to the Jefferies Group, Inc. 2003 Deferred Compensation Plan in respect of deferral elections made by employees in 2001.

The issuance of the common stock is exempt from registration pursuant to Section 3(a)(9) of the Securities Act of 1933.
