ITEM 8.01   OTHER EVENTS.
On November 23, 2010, Tenneco Inc. amended its senior credit agreement to permit the company to refinance its existing senior subordinated notes with new senior, unsecured indebtedness. The amendment enhances the company’s flexibility with respect to the senior subordinated notes. The company did not incur any fee in connection with the amendment.
