Item 8.01.   Other Events
     On November 4, 2010, Hanesbrands Inc. (“Hanesbrands”) issued a press release announcing the pricing of its offering of $1 billion in aggregate principal amount of its 6.375% senior notes due December 15, 2020 at par. The notes will be fully and unconditionally guaranteed on a senior unsecured basis by substantially all of Hanesbrands’ existing domestic subsidiaries and by certain of its future restricted subsidiaries.
     Hanesbrands intends to use the net proceeds from the notes offering to repay a portion of the borrowings outstanding under its existing senior secured credit facility, as well as to pay fees and expenses related to these transactions.
     The notes are being offered in the United States to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the “Securities Act”), and to non-U.S. persons in reliance on Regulation S under the Securities Act. The notes have not been registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements.
     A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
