Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

     Effective as of the close of business on October 5, 2010, Harold Friedman resigned from his position as Chairman of the Board of Friedman Industries, Incorporated (the “Company”) and as a director of the Company. Mr. Friedman will continue to serve the Company as an employee pursuant to the Agreement dated December 13, 2004, between the Company and Mr. Friedman.
