ITEM 2.02 RESULTS OF OPERATIONS AND FINANCIAL CONDITION.
     On March 31, 2010, A. Schulman, Inc. (“A. Schulman” or the “Company”) announced earnings for the Company’s second quarter ended February 28, 2010. A copy of the press release announcing these results is attached as Exhibit 99.1 hereto and incorporated by reference herein.
     Pursuant to General Instruction B.2 of Current Report on Form 8-K, the information in this Item 2.02 is being furnished and shall not be deemed to be “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, or otherwise subject to the liability of that section.
