Item 5.02		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

     On March 18, 2010, Mr. Michael D. Drennon, Vice President, Operations, of Parker Drilling Company (the “Company”), advised the Company that he will resign from the Company effective March 31, 2010. Mr. Drennon joined the Company in 2005 and has decided to accept an offer of employment at another company.
