Item 8.01 Other Events.
     On September 29, 2009, First Industrial Realty Trust, Inc., a Maryland corporation (the “Company”), entered into an Underwriting Agreement (the “Underwriting Agreement”) with J.P. Morgan Securities Inc., as the representative of the underwriters named therein (collectively, the “Underwriters”), providing for the offer and sale in a firm commitment underwritten public offering of 12,500,000 shares of common stock of the Company, $0.01 par value per share. In addition, pursuant to the terms of the Underwriting Agreement, the Company granted the Underwriters an over-allotment option, exercisable one or more times for 30 days, to purchase up to a total of 1,875,000 additional shares of the Company's common stock. On October 2, 2009, J.P. Morgan Securities Inc., as the representative of the Underwriters, exercised the over-allotment option for an additional 1,135,700 shares of the Company's common stock. The shares are being offered to the public at $5.25 per share. Subject to customary closing conditions, the Underwriters expect to deliver the shares to the purchasers, including the shares purchased pursuant to the Underwriters' over-allotment option, on or about October 5, 2009. The Company expects to receive net proceeds from this offering, including the exercise of the Underwriters' over-allotment option, of approximately $68.3 million after deducting underwriting discounts and commissions, and estimated transaction expenses of approximately $270,000. The shares are being offered and sold pursuant to a prospectus supplement, dated September 29, 2009, and a related prospectus, dated September 18, 2009, under the Company’s Registration Statement on Form S-3 (File No. 333-157771).
