(NASDAQ-HCSG) reported that revenues for the three months ended March 31, 2005 increased by 8% to $114,695,000 compared to $106,622,000 for the same 2004 period. Net income increased 28% for the three months ended March 31, 2005 to $4,263,000 or $.24 per basic and $.23 per diluted common share, compared to the 2004 first quarter net income of $3,318,000 or $.19 per basic and $.18 per diluted common share. The Board of Directors has declared a three-for-two stock split in the form of a 50% stock dividend payable on May 2, 2005 to the holders of record of its Common Stock at the close of business April 29, 2005. All fractional share interests will be rounded up to the nearest whole number. The effect of this action will be to increase common shares outstanding by approximately 8,874,000 shares to approximately 26,622,000 shares. Additionally, the Company's Board of Directors has declared a first quarter 2005 cash dividend of $.07 per common share payable on May 16, 2005 to shareholders of record at the close of business May 4, 2005. The first quarter 2005 cash dividend represents a 17% increase over the cash dividend declared for the 2004 fourth quarter and is the eighth consecutive quarterly dividend payment, as well as the seventh consecutive increase since our initiation of quarterly cash dividend payments in 2003. The cash dividend payment data is after giving effect to the three-for-two stock split. That change, and the lack of substantive reimbursement funding rate reform legislation, as well as other trends in the long-term care industry have resulted in certain of our clients filing for bankruptcy protection. These factors, in addition to delays in payments from clients, have resulted in and could continue to result in significant additional bad debts in the near future. Additionally, our operating results would be adversely affected if unexpected increases in the costs of labor and labor related costs, materials, supplies and equipment used in performing its services could not be passed on to clients. In addition, we believe that to improve our financial performance we must continue to obtain service agreements with new clients, provide new services to existing clients, achieve modest price increases on current service agreements with existing clients and maintain internal cost reduction strategies at our various operational levels.
