Reference is made to the announcements of the Company dated 13 January 2011 and 14 January 2011 in relation to the proposed offering of notes by CNOOC Finance (2011) to be guaranteed by the Company.
 
The Board is pleased to announced that on 21 January 2011, Hong Kong time, the Company and CNOOC Finance (2011) entered into a Purchase Agreement with Barclays Capital, BOC International, BofA Merrill Lynch, Citi, Goldman Sachs and J.P. Morgan in connection with the issuance of the 2021 Notes and 2041 Notes.
 
The aggregate net proceeds from the issuance of the Notes, after deducting underwriting commissions and estimated offering expenses payable by CNOOC Finance (2011) and the Company, are estimated to be approximately US$1,967.8 million. CNOOC Finance (2011) intends to advance the net proceeds from the Notes to the Company or a company controlled by the Company  for general corporate purposes.
 
Application has been made for the listing of the Notes on the Hong Kong Stock Exchange. The Hong Kong Stock Exchange assumes no responsibility for the correctness of any of the

INTRODUCTION
 
Reference is made to the announcements of the Company dated 13 January 2011 and 14 January 2011 in relation to the proposed offering of notes by CNOOC Finance (2011) to be guaranteed by the Company.
 
The Board is pleased to announce that on 21 January 2011, Hong Kong time, the Company and CNOOC Finance (2011) entered into a Purchase Agreement with Barclays Capital, BOC International, BofA Merrill Lynch, Citi, Goldman Sachs and J.P. Morgan in connection with the issuance of the 2021 Notes and 2041 Notes.
 
THE PURCHASE AGREEMENT

Barclays Capital, BOC International, BofA Merrill Lynch, Citi, Goldman Sachs and J.P. Morgan are the joint lead managers and bookrunners in respect of the offer and sale of the Notes. To the best of the Directors' knowledge, information and belief, having made all reasonable enquiries, Barclays Capital, BOC International, BofA Merrill Lynch, Citi, Goldman Sachs and J.P. Morgan are independent third parties and are not connected persons of the Company.
 
The Notes and the related guarantees by the Company have not been, and will not be, registered under the U.S. Securities Act.  Accordingly, the Notes are being offered or sold in the United States only to Qualified Institutional Buyers, as defined in, and in reliance on, Rule 144A under the U.S. Securities Act or outside the United States to non-U.S. persons in accordance with Regulation S under the U.S. Securities Act. None of the Notes will be offered to the public in Hong Kong nor will the Notes be placed to any connected persons of the Company.

PRINCIPAL TERMS OF THE NOTES
 
Notes Offered
 
Subject to certain conditions to completion, CNOOC Finance (2011) will issue the 2021 Notes in an initial aggregate principal amount of US$1,500,000,000 which will mature on 26 January 2021, and the 2041 Notes in an initial aggregate principal amount of US$500,000,000 which will mature on 26 January 2041, unless either the 2021 Notes or the 2041 Notes are redeemed earlier pursuant to the respective terms thereof and of the respective Indenture. At maturity, the Notes are payable at 100% of the principal amount thereof.
 
Issue Price
 
The issue price of the 2021 Notes will be 98.590% of the principal amount, plus accrued interest, if any, from 26 January 2011 to the issue date. The issue price of the 2041 Notes will be 99.448% of the principal amount, plus accrued interest, if any, from 26 January 2011 to the issue date.
 
Interest
 
The 2021 Notes will bear interest from 26 January 2011 at the rate of 4.25% per annum, payable semi-annually in arrears from 26 January 2011. The 2041 Notes will bear interest from 26 January 2011 at the rate of 5.75% per annum, payable semi-annually in arrears from 26 January 2011. Interest will be calculated on the basis of a 360-day year consisting of twelve 30-day months.

Ranking of the Notes and Guarantees
 
The Notes will be the direct, unconditional, unsubordinated and unsecured obligations of CNOOC Finance (2011), and rank pari passu with all other unsecured and unsubordinated obligations of CNOOC Finance (2011) (other than obligations preferred by applicable law) and senior in priority of payment and in all other respects to all other Indebtedness of CNOOC Finance (2011) that is designated as subordinate or junior in right of payment to the Notes.
 
The Notes are unconditionally guaranteed as to the payment of the principal and interest in respect thereof and all other amounts payable under the Notes by CNOOC Finance (2011) as evidenced by the Guarantees set forth in the respective Indenture. Each Guarantee is the Company's direct, unconditional, unsubordinated and unsecured obligation and will rank pari passu with all of the Company’s other unsecured and unsubordinated obligations (other than obligations preferred by applicable law) and senior in priority of payment and in all other respects to all the Company’s other Indebtedness that is designated as subordinate or junior in right of payment to the Guarantee.
 
Events of Default
 
Each of the following shall constitute an “Event of Default” under the respective Indenture for each series of Notes:

(i)
failure to pay principal of any Note of that series within two business days after the date on which such amount is due and payable, upon optional redemption, acceleration or otherwise;

(ii)
failure to pay interest on any Note of that series within 30 days after the due date for such payment;

(iii)
failure to perform any other covenant or agreement of the Company or CNOOC Finance (2011) in the respective Indenture, and such failure continues for 60 days after there has been given, by registered or certified mail, to the Company or CNOOC Finance (2011), as the case may be, by the Trustee or by the holders of at least 25% in aggregate principal amount of the Notes of that series then outstanding (with a copy to the Trustee) a written notice specifying such failure and requiring it to be remedied and stating that such notice is a “Notice of Default” under the Indenture;

(iv)
the Guarantees shall cease to be in full force or effect or the Company shall deny or disaffirm its obligations under the Guarantees;

(v)
(a) failure to pay upon final maturity (after giving effect to the expiration of any applicable grace period therefor) the principal of any Indebtedness of the Company, CNOOC Finance (2011) or any Principal Subsidiary, (b) acceleration of the maturity of any Indebtedness of the Company, CNOOC Finance (2011) or any Principal Subsidiary following a default by the Company, CNOOC Finance (2011), or such Principal Subsidiary, if such Indebtedness is not discharged, or such acceleration is not annulled, within 10 days after receipt by the Trustee of the written notice from the Company or CNOOC Finance (2011) as provided in the respective Indenture, or (c) failure to pay any amount payable by the Company, CNOOC Finance (2011) or any Principal Subsidiary under any guarantee or indemnity in respect of any Indebtedness of any other Person if such obligation is not discharged or  otherwise satisfied within 10 days after receipt of written notice as provided in the respective Indenture; provided, however, that no such event set forth in clause (a), (b) or (c) shall constitute an Event of Default unless the aggregate outstanding Indebtedness to which all such events relate exceeds US$100,000,000 (or its equivalent in any other currency); and

(vi)
certain events in bankruptcy, insolvency or reorganization in respect of the Company, CNOOC Finance (2011) or any Principal Subsidiary as provided in the respective Indenture.

If an Event of Default (other than an Event of Default described in clause (vi) above) with respect to the Notes of that series shall occur and be continuing, either the Trustee or the holders of at least 25% in aggregate principal amount of the Notes of that series then outstanding by notice as provided in the respective Indenture may declare the principal amount of such Notes and any accrued and unpaid interest thereon to be due and payable immediately.

If an Event of Default in clause (vi) above with respect to the Notes of that series shall occur, the unpaid principal amount of all the Notes of that series and any accrued and unpaid interest thereon will automatically, and without any action by the Trustee or any holder of

Notes of that series, become immediately due and payable. After any such acceleration but before a judgment or decree based on acceleration has been obtained, the holders of at least a majority in aggregate principal amount of the Notes of that series then outstanding may, under certain circumstances, rescind and annul such acceleration if all Events of Default, other than the nonpayment of accelerated principal, have been cured or waived as provided in the respective Indenture.

Covenants
 
The Company has covenanted in the Indentures, with certain exceptions, not to, and not permit CNOOC Finance (2011) or any Principal Subsidiary to, incur certain liens or consolidate, merge or sell its assets substantially as an entirety unless certain conditions are satisfied. The Notes and the Indentures do not otherwise restrict or limit the Company’s ability to incur additional indebtedness by itself or its subsidiaries or its ability to enter into transactions with, or to pay dividends or make other payments to, affiliates.

Redemption
 
At any time, CNOOC Finance (2011) as the issuer or the Company as the guarantor may at its option redeem the Notes, in whole or in part, at a redemption price equal to 100% of the principal amount of the Notes redeemed plus the applicable premium as of, and accrued and unpaid interest, if any, to the redemption date.
 
Reason for the Notes
 
The Group is an upstream company specialized in the exploration, development and production of oil and natural gas.  The Group is a dominant oil and gas producer in offshore China and also one of the largest independent oil and natural gas exploration and production companies in the world in terms of reserves and production.
 
CNOOC Finance (2011) intends to advance the net proceeds from the Notes to the Company or a company controlled by the Company for general corporate purposes.

CNOOC Limited Prices 2021 Notes and 2041 Notes

(Hong Kong, January 23, 2011)CNOOC Limited (the “Company”, NYSE: CEO, SEHK: 0883) is pleased to announce today that it has priced, through CNOOC Finance (2011) Limited, its wholly owned subsidiary, an aggregate principal amount of US$1.5 billion 4.25% Guaranteed Notes due 2021 (the “2021 Notes”) and an aggregate principal amount of US$0.5 billion 5.75% Guaranteed Notes due 2041 (the “2041 Notes” and, together with the 2021 Notes, the “Notes”).

The 2021 Notes will bear interest from January 26, 2011 at the rate of 4.25% per annum, payable semi-annually in arrears from January 26, 2011. The 2041 Notes will bear interest from January 26, 2011 at the rate of 5.75% per annum, payable semi-annually in arrears from January 26, 2011.

The Notes will be issued by CNOOC Finance (2011) Limited and guaranteed by the Company. The net proceeds will be advanced by CNOOC Finance (2011) Limited to the Company or a company controlled by the Company and used for general corporate purposes.

The Notes are expected to be rated “Aa3” by Moody’s Investors Service and “AA-" by Standard & Poor’s Ratings Services.

An application has been made for listing of the Notes on the Hong Kong Stock Exchange. Admission to the official list of the Hong Kong Stock Exchange is not to be taken as an indication of the merits of the Company, CNOOC Finance (2011) Limited or the Notes.
