State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.
Acacia Research Corporation (the “Company”) has determined that it is unable to file its Quarterly Report on Form 10-Q (the “Form 10-Q”) for the quarter ended September 30, 2016 within the prescribed time period without unreasonable effort or expense, because of a valuation analysis that the Company is working on with the assistance of a third party, required to account for an investment transaction executed by the Company during the period covered by the Form 10-Q, has not yet been finalized. Once the analysis is finalized, the Company will allocate the investment amount between the loan and the equity securities received by the Company in connection with the investment transaction, and will reflect interest income on the loan and accretion of the loan discount in the Company’s statement of operations. In accordance with Rule 12b-25 promulgated under the Securities Exchange Act of 1934, as amended, the Company will file the Form 10-Q no later than five calendar days following the prescribed due date.
