Attached hereto as Exhibit 99.1 is a copy of the Ocean Business Sale Agreement, dated as of January 31, 2017, by and among, Ultrapetrol (Bahamas) Ltd. (the "Company"), Princely International Finance Corp., Interocean Transportation Inc., UABL S.A. and Ultrapetrol S.A. Attached hereto as Exhibit 99.2 is a copy of the Common Terms Agreement, dated as of January 31, 2017, by and among, inter alios, (i) the Company, (ii) UP Offshore (Bahamas) Ltd., (iii) its subsidiaries listed in Part 1 of Schedule 1 thereto, (iv) the financial institutions listed in Part 2 of Schedule 1 thereto, and (v) DVB Bank SE.
