Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Sharleen Ernster, Chief Design Officer of Guess?, Inc. (the “Company”), is leaving the Company effective August 20, 2014 pursuant to the mutual agreement of Ms. Ernster and the Company. Upon the satisfaction of conditions set forth in her employment offer letter, dated March 14, 2013, Ms. Ernster will receive the severance benefits described in that letter.
