         On April 12, 2007, Umpqua Holdings Corporation issued a press release announcing the receipt of conditional regulatory approvals relating to the proposed merger of North Bay Bancorp with and into Umpqua Holdings Corporation and of The Vintage Bank with and into Umpqua Bank.
