INTRODUCTION
This Registration Statement on Form S-8 is filed by Marvell Technology Group Ltd., a Bermuda corporation (the Company), to register an additional 5,928,845 shares of the Companys common stock, par value $0.002 per share (Common Stock), issuable to holders of options issued under the Companys Amended and Restated 1995 Stock Option Plan and an additional 500,000 shares of Common Stock issuable to employees of the Company and certain of its subsidiaries under the Companys 2000 Employee Stock Purchase Plan, and consists of only those items required by General Instruction E to Form S-8.
