Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.
Jean-Claude Killy, a member of the board of directors of Coca-Cola Enterprises since 1997, has announced his intention to resign from the board. On March 4, 2005, we agreed that his resignation would take effect following the April 2005 meeting of the board.
Mr. Killy's current term would have expired at our 2006 meeting of shareowners. His seat will remain vacant until such time the board determines either to fill the vacancy or to eliminate the unfilled seat.
