Explanatory Note

     This Current Report on Form 8-K is being filed to
disclose a Supplier Quality Agreement by and between Pacesetter, Inc., a St. Jude
Medical Company (“SJM”), and us.





Item 1.01. Entry into a Material Definitive Agreement.



Description of the Terms of the Agreement

     The Agreement addresses quality assurance matters
relating to the components that SJM may purchase from us.



     The Agreement is filed as Exhibit 10 to this Current
Report on Form 8-K, and the foregoing description does not purport to be complete
and is qualified in its entirety by reference to the full text of the Agreement
filed as Exhibit 10.
