Item 8.01    Other Events.

On December 18 and December 20, 2013, First Financial Bancorp announced that it entered into an Agreement and Plan of Merger with each of The First Bexley Bank and Insight Bank, respectively.  These transactions were originally intended to be completed in the first half of 2014.  These transactions are now expected to be completed in the third quarter as the Office of the Comptroller of the Currency continues its review of the applications for the transactions.
